Terms of Service
These Terms govern your use of Quota, an AI-powered sales productivity service operated by Adrian Hessen as a sole proprietorship based in Maryland. By creating an account or using the service, you agree to these Terms.
The Service
Quota is a software-as-a-service tool that helps B2B sales representatives research prospect accounts, generate personalized outreach campaigns, verify contact information, and manage a daily prospecting task queue. The service uses third-party AI providers (including Anthropic and Google) to generate research summaries, written outreach scripts, and conversational responses.
We reserve the right to modify, suspend, or discontinue any feature of the service at any time, with or without notice. We will use reasonable efforts to provide advance notice of material changes that affect paying subscribers.
Accounts
To use Quota you must:
- Be at least 18 years old
- Provide accurate registration information, including a valid email address
- Maintain the confidentiality of your account credentials
- Notify us promptly at [email protected] of any unauthorized access
You are responsible for all activity that occurs under your account. You may not share your account credentials with others. Each user must have their own account.
Free Trial
New accounts receive a 14-day free trial with usage caps on each feature. The trial does not require a payment method. At the end of the trial, the account converts to a free state with no AI features available until a paid plan is selected. We do not automatically charge users at the end of the trial.
Paid Subscriptions
Quota offers monthly subscription plans (currently Starter, Growth, Pro, and Pair). Subscriptions:
- Are billed monthly in advance through Stripe
- Renew automatically until canceled
- Include a monthly allowance of usage across each feature, which resets at the start of each billing cycle
- May be canceled at any time through the service; cancellation takes effect at the end of the current billing period
Plan pricing and feature allowances are described on the pricing page within the service and may change with at least 30 days' advance notice to existing subscribers.
Pay-As-You-Go Credits
Quota also offers a credit-based wallet system. Credits are purchased in advance and consumed when a user exceeds their monthly subscription allowance for a given feature, or when used independently of a subscription. One credit equals one US dollar. The minimum purchase is $3. Credits never expire. Credits are non-refundable except as expressly described in the Refunds section below.
Refunds
Refunds are issued at our discretion within 14 days of charge. To request a refund, email [email protected] with your account email and the transaction date. Approved refunds are processed to the original payment method and typically appear within 5-10 business days.
Charges older than 14 days are non-refundable. Cancelling a subscription does not automatically refund the current billing period; service continues through the end of the period that was already paid for.
Acceptable Use
You agree not to:
- Share your account credentials with any other person, or allow others to use your account
- Resell, sublicense, or redistribute access to the service
- Use automated tools, scripts, or scraping techniques to access the service outside of normal product usage
- Use Quota to generate, send, or facilitate spam, mass unsolicited communications, fraudulent messages, or any communication that violates anti-spam laws including CAN-SPAM (US), CASL (Canada), or GDPR (EU)
- Use the service for any illegal purpose, including but not limited to harassment, fraud, identity theft, or unauthorized data collection
- Attempt to reverse-engineer, decompile, or extract the source code of the service
- Probe, scan, or test the vulnerability of the service or attempt to bypass authentication or security measures
- Interfere with the proper operation of the service or impose unreasonable load on our infrastructure
You are solely responsible for the content of outreach communications you send using scripts generated by Quota. Quota generates draft text; you choose whether and how to send it. You must comply with all applicable laws governing your outreach, including obtaining any necessary consents and honoring opt-out requests.
Your Content and Our License
You retain ownership of all data you input into Quota, including prospect lists, account notes, contact information, and any custom content you provide. You grant us a limited license to process this data solely for the purpose of providing the service to you, including transmitting it to third-party AI providers (Anthropic, Google) and infrastructure providers (Cloudflare, Upstash) as necessary to deliver Quota's features.
We do not use your data to train our own AI models, and our paid AI providers do not use your data to train their models under their commercial API terms.
Intellectual Property
Quota's software, design, logos, and original written content are owned by Adrian Hessen and protected by copyright and other intellectual property laws. AI-generated outputs (research summaries, outreach scripts, briefs) produced for your account through your usage of the service are yours to use, modify, and send.
Third-Party Services
Quota integrates with the following third-party services. Your use of Quota is subject to their respective terms:
- Stripe — payment processing
- Anthropic — AI generation for campaigns, refinements, and chat
- Google (Gemini) — AI-powered web research and contact verification
- Cloudflare — hosting and PDF generation infrastructure
- Upstash — data storage
Service Availability
We strive to provide reliable service but do not guarantee uninterrupted availability. The service may experience downtime due to maintenance, third-party provider outages, or other factors. We are not liable for losses resulting from service unavailability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
AI-generated content is probabilistic and may contain inaccuracies. You are responsible for reviewing AI-generated research, scripts, and contact information before using them in your outreach. We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated output.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from (a) your violation of these Terms, (b) your misuse of the service, (c) your violation of any law or third-party rights, including spam and privacy laws, or (d) the content of communications you send using Quota.
Termination
You may terminate your account at any time by canceling your subscription and discontinuing use of the service. We may suspend or terminate your account if you violate these Terms, fail to pay charges when due, or engage in conduct that we reasonably believe harms the service or other users.
Upon termination, your subscription benefits end immediately. Your account data is retained for 30 days following cancellation, during which time you may reactivate by purchasing a new subscription. After 30 days, your account data is permanently deleted. Pay-as-you-go credits associated with the account are forfeited upon account deletion.
Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the service will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Maryland, or remotely if both parties agree. The arbitrator's decision will be final and binding.
You and Quota each waive any right to participate in a class action, collective action, or representative proceeding. Disputes must be brought individually.
This arbitration agreement does not prevent either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the service.
Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, any court actions must be brought in the state or federal courts located in Baltimore County, Maryland.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email to the address on your account at least 30 days before they take effect. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your account.
